Published 1 month, 1 week ago
Description
Pegasystems (PEGA) Q2 2026 — Pegasystems (PEGA), the founder-led enterprise-software company (low-code process automation + AI decisioning), MISSED in Q2 2026: revenue rose 9% to $420.7M but came in below estimates, non-GAAP EPS was $0.35 (+25% YoY, also light), and GAAP EPS was just $0.08 (down from $0.17). The key metric — annual contract value (ACV) — decelerated hard: Pega Cloud ACV +22%, but TOTAL ACV grew only 7% (8% cc) as legacy maintenance (-10%) and subscription license (-6%) shrank; management blamed 'unprecedented changes in the AI market' causing clients to delay purchases and warned growth may stay pressured all year. The stock fell and now sits ~$31, down ~46% YTD and ~55% from its 52-week high of $68, near its 52-week low of ~$29. The offset: cash. Record first-half free cash flow of $288M, a debt-free balance sheet ($362M cash & securities, convertible notes repaid), a $2.0B backlog (+10%), and $367M of buybacks in 1H (with a fresh $1B authorization, ~$0.9B left). At ~10x free cash flow and a ~10% FCF yield, our owner-earnings DCF pegs fair value near $50 (base ~$49) vs ~$31 — even our bear case is ~$31. Our call: BUY, 3/5 — cheap and cash-rich, but growth is slowing.
Pegasystems is a fallen enterprise-software leader the market has nearly left for dead — down ~46% in 2026 and ~55% from its 52-week high of $68, sitting near a 52-week low around $29. Founder Alan Trefler has run it since 1983 and still owns ~47%, and the platform (low-code workflow automation + AI decisioning) sells mission-critical software to the world's largest banks, insurers, and telecoms. Q2 2026 was a MISS: revenue +9% to $420.7M (below estimates), non-GAAP EPS $0.35 (+25%, also light), GAAP EPS just $0.08. The metric that matters — annual contract value — decelerated sharply: Pega Cloud ACV grew +22%, but TOTAL ACV grew only +7% (from ~12% last quarter) as legacy maintenance (-10%) and old subscription-license ACV (-6%) shrank; management candidly blamed 'unprecedented changes in the AI market' for clients delaying deals and warned it may pressure growth all year. So why BUY? Because of cash. Pega generated RECORD first-half free cash flow of $288M, is debt-free ($362M cash & securities after repaying its convertible notes), carries a $2.0B backlog (+10%, 77% Pega Cloud), and is buying back stock aggressively — $367M in 1H, with a fresh $1B authorization (~$0.9B remaining) retiring shares into the weakness. Forget distorted GAAP earnings — on owner-earnings (free cash flow, ~$491M in 2025, up from just $22M in 2022 as non-GAAP operating margin expanded toward ~28%) the stock trades at only ~10x FCF and a ~10% FCF yield. Our two-scenario owner-earnings DCF (discounted at 9/10/11%, plus net cash) spans ~$43-56 (base) and ~$70-92 (bull), blending to a fair value near $50 (~60% above price) — and even our bear case (ACV truly stalls) lands at ~$31, essentially today's price. That asymmetry, into a debt-free cash machine with a founder owning half the company, is why it's a BUY — but only 3/5: the ACV deceleration and the agentic-AI disruption question are real and unresolved, and the overturned $2B Appian trade-secrets verdict is heading back to a new trial (ordered by Virginia's Supreme Court in Jan 2026). We're directionally ALIGNED with the Street's Buy but more conservative than its ~$57 average target. Cheap, cash-rich, founder-controlled — but growth is slowing, so buy it measured. Not financial advice.
THE CALL: BUY (3/5, A DE-RATED, DEBT-FREE CASH MACHINE AT ~10x FREE CASH FLOW — DEEP-VALUE ASYMMETRY (BEAR CASE ~= TODAY'S PRICE), BUT ACV GROWTH IS DECELERATING AND THE AGENTIC-AI QUESTION IS UNRESOLVED, SO SIZE IT MEASURED) — base-case value ~$50 vs ~$31 today.
What to watch: Watch ANNUAL CONTRACT VALUE (ACV) above all else — it is the whole story. We'd turn more bullish on ACV stabilizing: Pega Cloud ACV holding above ~20% while TOTAL ACV growth stops decelerating (it fell to +7% from ~12% last quarter), which would prove the free-c
